Submissions Policy

Effective Date: September 2019

This Submissions Policy is part of and subject to our Terms of Use and governs your submission of any content to Entrusting, Inc. (d/b/a Visual Disobedience ™ Campaigns Company (VDCC)) (“VDCC,” “us” or “we”) , either via the Site, email, or other means.

  1. Solicited Submissions.

    From time to time, VDCC may invite you to submit: (i)  images, video, audio files, creative suggestions, ideas, notes, concepts, information, or other materials (collectively, “User Content”), or (ii) modifications, adaptations or derivative works of VDCC’s Visual Disobedience ™ Logo or other Site Materials (“Adapted Site Materials”), in each case for inclusion on the Site or Products and Services or in connection with certain contests VDCC may sponsor. User Content and Adapted Site Materials are collectively referred to herein as “Submissions.”  You may only provide Submissions to VDCC when specifically invited to do so by VDCC. Solicited Submissions may be subject to further terms, conditions, and restrictions as set forth in any Supplemental Terms, including without limitation in connection with any contests VDCC may sponsor.  By submitting any Submissions, you agree that, unless otherwise specified in this Submissions Policy or any Supplemental Terms, your disclosure is without restriction and will not place VDCC under any obligation with respect to such Submissions, and that VDCC is free to disclose the Submission on a non-confidential basis to anyone or otherwise use (or elect not to use) the Submission without any additional compensation to you. You acknowledge that, by acceptance of your Submission, VDCC does not waive any rights to use similar or related ideas previously known to VDCC, or developed by its employees, or obtained from sources other than you.

  2. Unsolicited Submissions.

    Except for Submissions requested by VDCC as described above, VDCC does not accept unsolicited creative materials, ideas, or suggestions. We do not accept such items because we want to avoid potential misunderstandings if your unsolicited submissions and ideas are similar to Site Materials or Products and Services VDCC has developed or obtained independently.  If, notwithstanding the foregoing, you submit any such unsolicited items, you agree that VDCC is free to use (or elect not to use) any such creative materials, ideas, or suggestions that you send to VDCC for any purpose and in any manner whatsoever without compensation to you or any other person.

  3. User Content.

    By sending or transmitting User Content to VDCC or by posting User Content on the Site, you hereby grant to VDCC and its designees a worldwide, non-exclusive, perpetual, royalty-free, fully paid up, transferable, irrevocable right and license (with the right to sublicense to others through multiple tiers of distribution) to use, reproduce, distribute, modify, create derivative works of, publicly perform, publicly display, digitally perform, sell, offer for sale, and import such User Content in any media now known or hereafter devised, for any purpose whatsoever, commercial or otherwise, without compensation to you. You represent and warrant that you have obtained all rights, licenses, consents, approvals, and authorizations necessary to allow VDCC to exercise its license to use such User Content.

  4. Adapted Site Materials.

    As part of the Vis Dis ™ Logo Creativity Program we offer in connection with our Site, we hereby grant you a personal, revocable, limited, non-exclusive, non-transferable, non-sublicensable, license to use our Marks as set forth in our Temporary Trademark License and other Site Materials as specified in writing in connection with the Vis Dis Creativity Program [described in the linked details of the Share your logo creativity’ box found on the right side of the home page] to produce and reproduce Adapted Site Materials for non-commercial purposes only.  Except for the foregoing limited license, you acknowledge that nothing contained in the Terms of Use and this Submissions Policy shall be construed as giving to you or to any other person or entity any right, title, or interest in VDCC’s Marks or other Site Materials. You may not provide Site Materials or Adapted Site Materials to any third party without our prior written consent. Nothing contained herein shall be construed as limiting VDCC’s right, title, or interest in the Marks, Site Materials, or Adapted Site Materials.  You acknowledge and agree that VDCC is the owner of the all proprietary rights to the electronic version of the Marks, Site Materials, and Adapted Site Materials. No right is given to you to disclose, duplicate, license, sell, modify, or reveal in any way, any portion of the Marks, Site Materials, and Adapted Site Materials to any person anywhere in the world except as it pertains to the designing of Adapted Materials under the Vis Dis ™ Creativity Program.  You agree to return the electronic version of the Marks, Site Materials, and Adapted Site Materials upon written request by VDCC. In connection with the Vis Dis ™ Creativity Program and any contest we may offer in connection therewith, we may select certain Adapted Site Materials submitted by Site users and offer them as Products and Services in connection with our Site. If your Adapted Site Materials are selected, you will receive 40% of the revenues (minus refunds, returns, allowances, and applicable taxes) we actually receive directly from the sale of such Products and Services, as may be further specified in Supplemental Terms related to promotional products. We will enter into a separate contract with you before their use by VDCC, should we select your Adapted Site Materials.

  5. Indemnity and Liability.

    You agree to indemnify and hold VDCC, and its subsidiaries, affiliates, officers, directors, shareholders, attorneys, agents, employees, licensors, suppliers, co-branders, or other partners harmless from any claim or demand, including reasonable attorneys’ fees and damages of any kind, made by any third party due to or arising out of Submissions you submit to VDCC and/or transmit through the Site (including, without limitation, any computer viruses), your use of the Site or any Site Materials, your connection to the Site, your violation of the Terms of Use, Submissions Policy, Temporary Trademark License, or any Supplemental Terms, the actions of any of your employees or agents in conjunction with the Site, or your violation of any rights of another person or entity or any applicable laws and regulations, and/or your use of VDCC’s Site Materials, Marks, and Products or Services.

  6. Copyright Infringement and DMCA Policy.

    If you believe that material located on or linked to by VDCC violates your copyright, and if this website resides in the USA, you are encouraged to provide VDCC a notice of possible infringement with the following information: (a) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright; (b) a description of the copyrighted work that you claim has been infringed; (c) a description of where the material that you claim is infringing is located on the Website; (d) your address, telephone number, and primary email address; (e) a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (f) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf. You may file a notice of possible infringement with our designated Copyright Agent. It is our policy to respond to notices of alleged copyright infringement that comply with the requirements of the Digital Millennium Copyright Act (“DMCA”). Our designated Copyright Agent to receive DMCA communications (including notices and counter-notices of alleged infringement) is: Copyright Agent, [Jason Rhodes, Attorney; JMR Law Group PLLC, 805 N. 20th Street, Boise, ID 83702,].  Upon receipt of a proper DMCA notice of actual infringement, we will promptly remove or disable access to the content that is the subject of the notice.

It is our policy in appropriate circumstances to deactivate or terminate, without notice and in our sole discretion, the accounts of those subscribers that we determine to be “repeat infringers.” In the case of such termination, VDCC will have no obligation to provide a refund of any amounts previously paid to VDCC.  Repeat infringers are those subscribers whose actions receive more than two notices of alleged copyright infringement. The subscriber’s account will be deactivated by VDCC upon the third copyright offense.
